  • Registered address: 11 Reznik David Street, Netanya 4246391, Israel
  • Trade name / platform: resid.ai

Hereinafter "resid.ai", "the Platform" or "we".

Article 2 — Purpose

These Terms of Use ("Terms") set out the terms and conditions under which resid.ai makes available to owners, tenants, guarantors, building committee ("building committee") members, and building trade professionals ("Service Providers") its property and building management services, as well as the rights and obligations of the parties in this context.

Creating an account or using the Platform implies full and unreserved acceptance of these Terms.

Article 3 — Definitions

  • "User": any individual holding an account on the Platform, regardless of role (Owner, Tenant, Guarantor, committee member, Service Provider).
  • "Owner": a User declaring themselves the owner of a property registered on the Platform.
  • "Tenant": a User occupying a property under a lease agreement managed through the Platform.
  • "Guarantor": a person standing surety for the Tenant under a lease agreement, according to one of the two arrangements described in Article 6.
  • "building committee": a building’s management committee ("ועד בית"), made up of residents elected or self-appointed according to the mechanism described in Article 9.
  • "Building": a building record shared among the properties attached to it, enabling the pooling of charges, votes, and common information.
  • "Security Deposit": a sum paid as security for the proper performance of the lease agreement, whose amount, payment method, and conditions of return are described in Article 7.
  • "Documents": the lease agreement and, where applicable, the guarantee annex, generated by the Platform and signed electronically by the parties.
  • "Assistant": the AI-based conversational assistance service built into the Platform, described in Article 11.

Article 4 — Access to the Service and Account Creation

Access to the Platform requires creating an account, associated with a valid e-mail address. The User undertakes to provide accurate, complete, and up-to-date information, and to keep it up to date throughout the use of the service.

Certain features (attaching to a Building, signing Documents, access to payment data) may require additional identity verification. The User acknowledges that the role they hold (Owner, Tenant, Guarantor, committee) determines the data and features they can access, in accordance with the principle of least privilege applied by the Platform.

resid.ai reserves the right to suspend or refuse the creation of an account in the event of information that is manifestly incorrect, fraudulent, or in breach of these Terms.

Article 5 — Description of Features

resid.ai offers in particular:

  • Management of one or more properties (primary residence, secondary residence, or rented property) and of their associated Building;
  • Setting up a tenancy: property details, dates, rent, security deposit, guarantor(s), generation and electronic signature of the lease agreement and the guarantee annex;
  • Tracking of payments (rent, building charges, arnona [municipal tax], water, electricity, gas, depending on available integrations) and issuance of receipts and reminders;
  • Building governance: Committee votes, election and replacement of committee members, management of common charges;
  • A directory of Service Providers (artisans, insurers) allowing users to request and compare quotes;
  • A conversational Assistant that may, subject to the User’s explicit confirmation, carry out certain actions within the application (see Article 11);
  • Emergency and incident-reporting features.

The list of available features may evolve. resid.ai endeavors to inform Users of any substantial change.

Article 6 — The Lease Agreement and the Guarantee

When an Owner sets up a tenancy through the Platform, a lease agreement is generated in Hebrew, the legally binding language in Israel, based on the information entered (identity of the parties, address, term, rent, security deposit). If one or more Guarantors are designated, a guarantee annex is also generated.

For each guarantor, the Owner chooses one of the following two guarantee arrangements:

  • Joint and several guarantee ("Arevut Behad Velahoud"): the Owner may claim directly from the Guarantor, from the first day of non-payment, without any prior obligation to pursue the Tenant.
  • Simple / subsidiary guarantee: the Owner must first take action against the Tenant before being able to turn against the Guarantor.

Each party (Owner, Tenant, Guarantor) receives a personal electronic signature link, with the interface in their own language, while the legal document remains in Hebrew. The signature consists of entering the signatory’s full name and giving explicit acceptance; the date, time, and IP address of the signatory are recorded and retained as evidence. resid.ai does not warrant that this electronic signature alone satisfies every formal requirement applicable to a lease agreement under Israeli law; it is the parties’ responsibility to ensure, where applicable, compliance with any additional formalities required.

No document is sent for signature before the Owner has expressly approved its content on the preview screen.

Article 7 — Security Deposit

The amount of the security deposit is capped at three (3) months’ rent, in accordance with standard practice in the Israeli rental market. The Owner indicates, when setting up the tenancy, whether the Tenant or the Guarantor is responsible for paying the deposit.

The deposit is intended to secure the proper performance of the Tenant’s obligations under the lease (unpaid rent, damage, outstanding charges). The conditions for its partial or full return at the end of the tenancy are set out in the lease agreement itself.

Current status of the payment mechanism: as of the date this draft was prepared, the payment integration (Grow) operates in simulation mode and no real funds are yet moved by the Platform. The exact legal characterization of resid.ai once the deposit mechanism goes into real production (simple technical facilitator, custodian, trusted third party, or equivalent) must be settled with legal counsel before any actual collection of funds, particularly in light of the regulations applicable to residential security deposits in Israel.

Article 8 — Platform Fees

resid.ai charges a 1.5% (one and a half percent) commission:

  • on building charges and calls for funds collected on behalf of the building through the Platform (the committee / building management receives the net amount; the resident pays the amount shown, with no surcharge);
  • on the rent collected by the Owner through the Platform (the Owner receives the net amount, after deduction of the commission);
  • on the security deposit, borne solely by the Owner. The party paying the deposit (Tenant or Guarantor, per Article 7) pays the deposit amount only and gets 100% of it back when it is fully due; the commission is never deducted from their funds.

The exact amount of the commission is displayed to the User, with a breakdown of the calculation (gross amount, commission, net amount or total amount charged), before any payment confirmation or tenancy setup. The applicable commission rate is the one in effect at the time of the transaction and may be changed for the future, subject to prior notice to Users.

Manager subscription: in addition to the 1.5% commission, which it does not replace, volunteer building boards and professional managers may owe a monthly subscription, calculated per registered resident (Israel) or per dwelling lot (France), with a sliding-scale rate for managing several buildings. The prices in force are shown on the website, excluding tax, with VAT stated separately where applicable; while marked "provisional" they may still change. Residents pay no subscription. Online payment of the subscription is not open yet; any price change applies for the future, after prior notice.

Article 9 — Building Governance (committee)

An Owner may attach their property to an existing Building record or propose the creation of one. Once the address matches an already-registered Building, the shared data of that Building (charges, notices, committee composition) is accessible to the User, regardless of any further steps on their part.

The name of a newly created Building is recorded as a proposal and only becomes the Building’s official name after validation by the committee or by a majority vote of the attached residents.

The first User to attach a property to a Building not yet registered may designate themselves as the first committee member. This status is neither permanent nor exclusive: any active committee member may be replaced by a peer, on written grounds, in accordance with the peer-removal procedure provided by the Platform; as a last resort, resid.ai may intervene to resolve a situation involving an unreachable or manifestly usurped committee.

Article 10 — Identity, Verification, and Data Confidentiality

resid.ai may use third-party identity verification providers for certain sensitive operations. Users’ personal data (contact details, profile photographs, payment data, signed contractual Documents) is processed in accordance with applicable data protection regulations, and is accessible only to persons with a legitimate need to know: the parties to a contract for signed Documents, the residents of the same Building for the Building’s shared information, and the active committee for information relating to the charges of its own Building.

A separate privacy policy, describing in detail the categories of data processed, the purposes, the retention periods, and the rights of the persons concerned, will be published separately and supplements these Terms.

Booking (Calendly): the Contact page shows Calendly's booking calendar, a third-party service, as soon as it opens. Calendly may set its own cookies and process the data you enter to book (name, email address, time slot) under its own privacy policy. If you prefer not to load this calendar, you can write to us through the contact form.

Article 11 — AI Assistant

At the User’s request and after their explicit confirmation, the Assistant may carry out certain actions within the application (for example: checking the status of charges, preparing a service request, comparing quotes, organizing a committee meeting, sending a reminder for unpaid charges).

The Assistant is never authorized to carry out, on its own and without prior explicit confirmation, a financial transaction, a vote, or the approval of a management mandate, nor to modify sensitive data in the User’s profile. The Assistant’s responses regarding amounts owed are based on the Platform’s actual data; in case of doubt, the User is invited to check the corresponding payment screen directly.

Article 12 — User Obligations

  • Provide accurate and up-to-date information;
  • Not impersonate a third party or create an account on behalf of a person without their authorization;
  • Not attempt to circumvent the Platform’s security or access-control mechanisms;
  • Use the emergency reporting features in accordance with their intended purpose;
  • Respect the rights of other Users, particularly with regard to the confidentiality of data shared within the same Building.

Article 13 — Intellectual Property

The Platform, its structure, its features, its editorial content, and its graphic elements are protected by the intellectual property rights of resid.ai or its licensors. No provision of these Terms grants the User any right over these elements, other than the right of use strictly necessary for normal use of the service.

Article 14 — Liability

resid.ai implements reasonable means to ensure the availability, security, and accuracy of the information displayed on the Platform. resid.ai may not, however, be held liable for the consequences of incorrect information entered by a User, of a rental dispute arising from the contractual relationship between Owner, Tenant, and Guarantor, or of a service interruption due to force majeure or the act of a third party (in particular payment, messaging, or identity verification providers).

resid.ai’s liability may not be engaged beyond what is strictly provided for by applicable law.

Article 15 — Term, Suspension, and Termination

The account remains active as long as the User does not request its closure and resid.ai does not suspend it for a legitimate reason (breach of these Terms, fraudulent use, request from a competent authority). Closing an account does not affect the validity of Documents already signed, nor contractual obligations previously arising between the parties concerned.

Article 15 bis — Rewards, credit and referral (to be reviewed by a lawyer)

Rewards are calculated only on the commission received by resid.ai, at no extra cost for the User: 10% for the resident on their personal spending, 5% for their building pot and 5% for their sponsor, if any; on payments made by the committee or the management company, 10% for the pot, 5% shared between the residents and 5% for that entity's sponsor.

A reward is a non-monetary commercial credit. It applies only to future payments made in the app, has a validity period shown in the app, and is neither refundable, nor convertible into cash, nor transferable to another user. The building pot remains collective and can only be used after a majority vote.

Referral is partitioned: a resident's sponsor is rewarded only on that resident's personal spending, and the sponsor of a committee, a syndic or a management company only on that entity's payments. Only payments made after the code is used count; self-referral is forbidden. Referral rewards end exactly twelve months after the referred account is activated, without reclaiming credit already awarded.

Draft revision clause — legal review required: after the programme's first year, resid.ai may revise future reward rates, caps and conditions. Users receive advance notice of any material change, which never reduces or reclaims credit already awarded.

Exceptionally, only professionals who already invoice resid.ai (tradesperson, taxi, management company) may request a buyback of their credit, on an invoice addressed to resid.ai and after manual approval by our team; this service stays disabled until approved by an accountant and a lawyer of the country (to be validated by an accountant).

Article 16 — Amendment of the Terms

resid.ai may amend these Terms at any time, in particular to reflect regulatory or functional developments. Users will be informed of any substantial change by appropriate means (in-app notification or e-mail) before it takes effect.

Article 17 — Governing Law and Jurisdiction

These Terms are governed by Israeli law. Any dispute relating to their interpretation or performance shall, failing an amicable resolution, fall within the exclusive jurisdiction of the competent Israeli courts of the district where resid.ai has its registered office.

Article 18 — Contact

For questions about these Terms, privacy or user rights: contact@resid.ai.

Proof photos attached to work reports are kept for 12 months, then deleted automatically.

Payslips uploaded to the platform remain private. Resid.ai uses them solely to make them available to the person concerned and to authorised managers.
